Terms & conditions

The commercial terms under which PROZEN quotes, delivers and supports client work.

These terms

These terms govern use of prozen.in and any quotation, proposal or engagement between PROZEN (operated by Prosenjit Kar, West Bengal, India) and a client. A signed proposal or written acceptance of a quotation takes precedence over anything inconsistent here.

Quotations

Prices shown on this website are indicative starting points, not offers. A quotation is valid for 30 days from issue unless stated otherwise, and assumes the scope, assumptions and dependencies listed in it.

Work outside the agreed scope is quoted separately before it begins. We do not perform unapproved additional work and invoice for it afterwards.

Payment

Fixed-scope projects are typically invoiced 50% on acceptance and 50% on delivery, or split by milestone for larger engagements. Retainers are billed monthly in advance.

Invoices are payable within 7 days. Applicable GST is charged in addition where required. Third-party costs (hosting, APIs, licences, app store fees) are either billed at cost or paid directly by the client.

Delivery and acceptance

Delivery dates are estimates given in good faith and depend on client feedback, content and third-party approvals. A deliverable is accepted when it materially meets the written scope; defects against that scope are corrected at no charge within 30 days of launch.

Requests that change agreed behaviour after sign-off are change requests, not defects.

Client responsibilities

Timely access to stakeholders, content, credentials and third-party accounts. Delays caused by unavailable inputs move the delivery date accordingly.

The client confirms it has the right to use any content, trademark or data it supplies.

Intellectual property

On receipt of final payment, ownership of the custom code, design and documentation created for the project transfers to the client.

PROZEN retains ownership of pre-existing tools, libraries and internal frameworks, and grants the client a perpetual, non-exclusive licence to use them as part of the delivered system.

Unless the client asks otherwise in writing, PROZEN may describe the project in general terms in its portfolio without disclosing confidential information.

Confidentiality

Both parties keep the other's non-public information confidential and use it only for the engagement. This survives the end of the engagement.

Warranties and liability

We warrant that delivered work will materially conform to the agreed scope and that we have the right to deliver it. Beyond that, software is provided without further warranty.

To the maximum extent permitted by law, PROZEN's total liability arising from an engagement is limited to the fees paid for the twelve months preceding the claim. We are not liable for indirect or consequential loss, including lost profit or lost data where backups were the client's responsibility.

Termination

Either party may end an engagement with 14 days written notice. The client pays for work completed and committed third-party costs. Delivered materials are handed over on settlement.

Governing law

These terms are governed by the laws of India, with exclusive jurisdiction in the courts of West Bengal.
